Board governance is the process of overseeing and managing an organization’s strategic direction. The board of directors is responsible for setting the organization’s overall mission, values, and for ensuring that the organization’s strategies are aligned with these goals. The board also monitors the organization’s performance and holds management accountable for achieving its goals.

Organizational leadership is the process of guiding and motivating an organization to achieve its goals. The leadership team is responsible for developing and implementing the organization’s strategic plan. The leadership team also sets the organization’s culture and values and creates an environment where employees can thrive. The leadership team is responsible for developing the organization’s strategic plan. This includes identifying the organization’s strengths, weaknesses, opportunities, and threats, and developing strategies to address these opportunities. They are also responsible for communicating the strategic plan to the organization’s employees and staff. This ensures that everyone is on the same page and working towards the same goals.

The board of directors and the organizational leadership team have different roles in strategic planning. The board is responsible for setting the strategic direction, while the leadership team is responsible for developing and implementing the strategic plan. The board also monitors the strategic plan, while the leadership team is responsible for overseeing the plan and leading the organization to success. “The synergy between leadership and governance is crucial for the success of any society or organization. Effective leadership ensures that governance is carried out with a clear vision, strong values, and a commitment to the common good. On the other hand, robust governance provides the framework and structure that guide leaders’ decisions and actions” (Medium 2023). The board holds the leadership team accountable for achieving the strategic plan. They can review the leadership team’s performance and take corrective action if necessary. By working together, the board of directors and the organizational leadership team can create a strategic plan that is aligned with the organization’s goals, and that is well-executed. This can lead to success for the organization.

My understanding of the board of governance is a system with checks and balances to maintain or improve conditions in a healthcare system. These practices use data current and past to make these decisions. The board of governance systems have a specific correlation to building leadership structures on strengths and competencies and allowing board members to support decisions after the data has been assessed. The board is composed of trusties from a diverse background of individuals to ensure skills are utilized for the greater outcome of the system, focusing on “a balance of power” (Gapstur & , 2024). These leadership structures are not built to make decisions solely. These two structures, governance and board leadership can be intertwined as leadership roles are embedded on the boards. The key is to ensure all strengths are being used to create and effective system. One of the main differences is the two structures “Effective governance has the following characteristics: it is efficient, allows a respectful conflict of ideas, is simple, is focused, is integrated and synergistic, has good outcomes, preserves community assets, and leads to enjoyment and personal reward for the individual board members” (Arnwine, 2002).
